GoZupees Referral Program Terms

These GoZupees Referral Program Terms (hereinafter, the "Referral Terms") govern your participation in the GoZupees Referral Program. These Referral Terms are subject to and governed by the GoZupees Terms and Conditions or any other Master Service Agreement (MSA) entered into between the referring party (referred to as "You" or "Referrer") and SILICON BIZTECH LIMITED, trading as GoZupees (referred to as "GoZupees").

GoZupees and the Referrer together are referred to as "Parties" and singularly as "Party".

GoZupees reserves the right, at its sole discretion, to prohibit any Referrer and Referee from participating in the GoZupees Referral Program if GoZupees suspects that such party has engaged in any of the following activities: (a) violating these Referral Terms or the GoZupees Terms and Conditions; (b) damaging, tampering with, or corrupting the operation of the Program; (c) any conduct deemed inconsistent with the intended operation of the Program. GoZupees shall be the sole determiner of any alleged violations, and any actions taken by GoZupees in response shall be at its sole discretion.

1. Definitions

  • "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
  • "Customer" means the Referee that has entered into a valid agreement with GoZupees to procure the Service originating through the Referral Link.
  • "Eligible Subscription Plan" means a paid subscription with GoZupees on the Team Plan or above that is active and in good standing for a minimum of ninety (90) days from the initial sign-up and subscribed at the standard list price.
  • "Ineligible Referral" means any lead as defined in Clause 2.2 of this Agreement.
  • "Referrer" refers to existing customers of GoZupees with a valid tax ID number and an active GoZupees account in good standing for a minimum of ninety (90) days.
  • "Referee" refers to a lead referred by the Referrer who is not an Ineligible Referral.
  • "Referral Link" means the unique URL provided by GoZupees to the Referrer.
  • "Services" means the GoZupees services generally sold by GoZupees and further described at www.gozupees.com.

2. Overview of the Program

2.1. Eligibility for Reward

The Referrer and the Referee are eligible to receive a promotional gift card (the "Gift Card") only if the Referee clicks on the Referral Link to create a GoZupees account that complies with the GoZupees Terms and Conditions and subscribes to an Eligible Subscription Plan.

2.2. Ineligible Referrals

Ineligible Referrals include leads who:

  • (a) were customers of GoZupees before the referral;
  • (b) are in GoZupees's active sales pipeline at the time of referral or were in the process sixty (60) days prior;
  • (c) are the Referrer themselves, an entity the Referrer owns, or an employee of the Referrer;
  • (d) are an Affiliate of the Referrer, or the Referrer is an Affiliate of the lead;
  • (e) create a GoZupees account without using the Referral Link.

2.3. Referrer Reward

Once GoZupees verifies the referral, the Referrer shall receive a Gift Card worth:

  • £100 if the Referee subscribes to a monthly Eligible Subscription Plan.
  • £200 if the Referee subscribes to an annual Eligible Subscription Plan.

At the time of payout, both the Referrer and the Referee must have active GoZupees accounts in good standing. The maximum value that can be earned per user per month is £2,500. The Gift Card will have a validity of six (6) months from the date of issue and will not be re-issued upon expiration.

2.4. Referee Reward

Once GoZupees verifies the referral, the Referee shall receive a Gift Card worth:

  • £50 if the Referee subscribes to a monthly Eligible Subscription Plan.
  • £100 if the Referee subscribes to an annual Eligible Subscription Plan.

At the time of payout, the Referee must have an active GoZupees account in good standing. The Gift Card will have a validity of six (6) months from the date of issue and will not be re-issued upon expiration.

2.5. General Reward Terms

The Gift Card will be sent to the registered email address associated with the Referrer's and Referee's GoZupees accounts. All decisions regarding Gift Cards are final and at GoZupees's sole discretion. The Referrer and/or Referee are responsible for any tax implications that may arise from the redemption or use of the Gift Card.

2.6. Prohibited Activities

The Referrer shall not post the Referral Link on any websites or media that contain adult, obscene, hateful, defamatory, or illegal content, or on coupon websites. The Referrer shall not use any GoZupees-provided content, including the Referral Link, to generate or facilitate unsolicited bulk commercial emails (spam) or violate any applicable laws (e.g., CAN-SPAM).

3. Term and Termination

The term of these Referral Terms begins when the Referrer shares a referral link or the Referee creates an account via a referral link. The term continues until the Referrer or Referee is no longer a customer, or until either Party terminates this Agreement. GoZupees reserves the right to terminate participation in the program at any time with written notice. In the event of termination, GoZupees will process only those referrals made before the effective termination date.

4. Trademarks

Each Party owns all rights to its respective tradenames, trademarks, service marks, and logos. The Referrer shall not use or display GoZupees's Trademarks to promote the Referral Link without prior written consent.

5. Indemnification

The Referrer will defend, indemnify, and hold harmless GoZupees, its affiliates, directors, officers, and employees against all liabilities, damages, and costs arising from any third-party claim related to the Referrer's participation in the Program or breach of these terms.

6. Disclaimers; Limitation of Liability

Each Party disclaims all express or implied warranties. The Program is provided 'as is'. In no event will either Party be liable for any consequential, indirect, special, incidental, or punitive damages. Neither Party's aggregate liability under this Agreement shall exceed the amount paid by GoZupees to the Referrer in the three months preceding the claim.

7. General

This Agreement shall be governed by the laws of the United Kingdom. GoZupees may modify this Agreement at any time. If any provision is held to be unenforceable, it shall be modified to the extent necessary to make it enforceable. The Parties are independent contractors. All notices to GoZupees must be in writing and sent to legal@gozupees.com. The Referrer may not assign their rights or obligations under this Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and representations.
